5 Clauses Most Often Missing from Contracts

Every day, thousands of business owners sign contracts without paying attention to critical details. The result: lost money, legal disputes, and damaged partnerships. Let us walk through five clauses that get overlooked most often.
1. Termination procedure
Many contracts describe the start of a partnership in detail but say nothing about how it ends. What happens if one party wants out? How much notice is required? Are there penalties?
Without this clause, termination becomes a long and expensive process. Make sure the contract specifies notice periods (typically 30 days) and conditions for refunding prepayments.
2. Limitation of liability
If a contract has no liability cap, you risk being held responsible for an amount far exceeding the contract value. For example, a freelancer builds a website for $5,000, and the client claims $50,000 in lost revenue.
Standard practice is to cap liability at the contract value or twice that amount.
3. Payment terms and late penalties
Payment upon completion is too vague. Within 3 days? Within 30? What if the client simply does not pay?
Specify exact terms: payment within 5 business days after signing the acceptance certificate. Add a late fee, even a symbolic 0.1% per day, to keep things on track.
4. Intellectual property rights
Who owns the design, code, or copy after the project is done? Without an explicit clause, the author retains rights to their work even if the client paid for it.
If you are the client, make sure the contract includes a full IP transfer clause. If you are the contractor, decide upfront whether you are transferring rights entirely or granting a license.
5. Force majeure
After 2020, ignoring force majeure is no longer an option. Pandemics, natural disasters, regulatory changes can all make contract performance impossible.
Spell out which events qualify as force majeure, how parties notify each other, and what happens to obligations during that period.
